Objective of the role

Drives to capture value and synergies of businesses acquired by Philips by coordinating, planning, and executing the procurement integration activities.

The Procurement Integration Manager ensures results/savings are delivered.  The Procurement Integration Manager safeguards supply and supports the successful continuation of the acquired business. He/she ensures the organization is sustainably integrated in the global Philips network.

Being the central coordination and escalation point for all procurement integration issues, you will have direct responsibility to coordinate and manage the activities of the procurement workstream and team up up with the Global Procurement network and the Procurement team of the acquisition. 

Role description

The procurement integration manager’s responsibility is to design and execute the agreed integration plan. He/she works closely with the M&A NVI Program manager from preparation of the integration plan (input for RFA) up to and with post close execution, with the objective to realize the value creation from the acquisition in an effective way.

The role focuses on procurement specific aspects like suppliers, procurement spend, safeguarding supply and procurement way of working, where the Procurement Integration Manager brings in procurement related competencies and capabilities.

  • Conducts conscientious and ethical Due Diligence to support the NVI team in defining the Procurement risks and synergies with the potential acquisition
  • Builds a high quality integration procurement work stream team with cross-functional members from Philips and the acquired company.
  • Leads development and execution of integration project plans for procurement
  • Leads development and execution of a detailed communication plan addressing suppliers   
  • Responsible for key value creators (standalone and synergies). Delivers highest of either RFA value creation commitment or savings target as identified in first 90 days. Responsible to deliver upon the deal synergies.
  • Safeguards supply: identifies and ensures mitigation of  supply risks & drives compliance roll-out
  • Implements Philips procurement processes in a phased way
  • Ensures that integration plan allows that current business is monitored and maintained during integration period.
  • Co-defines a procurement retention program for the procurement team of the acquisition

Reports to the Head of Procurement M&A. Is a member of the NVI project team, under the leadership of the NVI leader.

Requirements

  • Balance value generation with process orientation. Needs to work on both delivering on or excelling above agreed value generation targets while at the same time ensuring a smooth integration using a process orientation.
  • Work with both Procurement teams.  Needs to bridge reality of acquired business with vision of acquiring business and develop shared vision and integration strategy with acquired Procurement Leader and Philips Procurement.
  • Communication to employees, customers and stakeholders.  Employees need to focus on delivering business and integration results, customers need to be excited about synergistic and standalone business, and stakeholders need strong trust among acquired company and Philips. 
  • Deal with uncertainty.  Needs to balance the need for certainty with the need for action.  Need to be comfortable with complexity and ambiguity and willing to make difficult decisions without complete information and act according to PDCA (plan, do, check, and act).
  • Every acquisition brings a unique business culture. Needs to appreciate (organizational) cultural differences and different management practices, utilize optimum change management methods, and define way forward as part of Philips.
  • Pre-Post acquisition. Needs to translate identified risks, initial hypotheses and RFA targets in integration plan
  • Complexity: Needs to be able to work in an effective and impactful way in complex governance models and matrix organization at both Philips and if applicable at acquired business. Can bridge and connect acquired company with applicable resources within Philips organization.
  • Integrity is key. Needs to be able to work under strict non-disclosure requirements pre-acquisition, and be reliable and approachable for the acquisition post-deal.

  • Strong  project management skills to bring structure whilst consciously navigating dependencies, priorities and bandwidth
  • Integration experience is considered an asset
  • Willingness to travel / relocate for period of time.
